Terms and Conditions

1. Acceptance of Terms

By accessing or using the TripC website, mobile application, or any services provided by TripC LLC (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Services. These Terms constitute a binding legal agreement between you and TripC LLC. TripC may update or modify these Terms from time to time; we will post the revised Terms and indicate the effective date. Your continued use of the Services after any such changes signifies your acceptance of the updated Terms.

2. Description of Services

TripC LLC provides an online marketplace platform that enables users to list and sell motor vehicles and for other users to search for and purchase those vehicles. Through the TripC platform, a user who wants to sell a vehicle ("Seller") can create a listing for that vehicle, and a user interested in buying a vehicle ("Buyer") can browse listings and contact Sellers.

TripC acts only as an intermediary by providing the platform and related technology to facilitate the connection and transaction between Buyers and Sellers. TripC is not involved in the actual transaction between users apart from providing the venue for communication and possibly payment facilitation. The content of each vehicle listing is provided by the Seller, and TripC does not guarantee the accuracy or legality of any listing. Users should exercise their own judgment and due diligence when deciding to enter into a transaction.

3. User Accounts

To access certain features of the Services (such as posting a vehicle listing or contacting a seller), you must create a user account. You agree to provide accurate, current, and complete information during registration and to update your information as needed. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account and use the Services. If you become aware of any unauthorized use of your account, you should notify TripC immediately. TripC reserves the right to suspend or terminate your account at its discretion, particularly if any information provided is false or if you violate these Terms.

4. Listing and Selling Vehicles

When you list a vehicle for sale on TripC as a Seller, you agree to the following conditions and responsibilities:

  • You are the legal owner of the vehicle or have the clear legal right to sell the vehicle on behalf of the owner.
  • You will provide truthful and accurate information about the vehicle, including its make, model, year, mileage, condition, history, title status, and any defects or issues. Any known liens, salvage title, or other encumbrances on the vehicle must be disclosed to potential Buyers.
  • The vehicle is in your possession or control and is available for sale to be transferred to a Buyer within a reasonable timeframe after a sale is agreed.
  • Your listing and sale comply with all applicable laws and regulations. This includes, but is not limited to, complying with any required disclosures about the vehicle's condition or history and ensuring the vehicle is roadworthy and legally sellable.
  • You will not engage in any fraudulent behavior, such as misrepresenting the vehicle or failing to disclose important information. You will promptly remove the listing if the vehicle is sold or otherwise becomes unavailable.

As a Seller, you are solely responsible for communicating with potential Buyers, arranging inspections or test drives, and ultimately coordinating the sale. You are responsible for transferring ownership (title) and possession of the vehicle to the Buyer once the sale is completed, including providing any necessary documentation to the Buyer (such as the signed title, bill of sale, and any state-required forms). All obligations related to the vehicle’s sale (for example, satisfying any outstanding loans on the vehicle, or paying any required sales taxes or fees) are the sole responsibility of the Seller and the Buyer, as applicable.

5. Buying Vehicles

If you use TripC as a Buyer to purchase a vehicle, you agree to the following conditions and acknowledgments:

  • You are responsible for reviewing all information provided by the Seller about the vehicle and for performing any due diligence you deem necessary (such as obtaining a vehicle history report or a physical inspection) before agreeing to purchase.
  • You understand that TripC does not guarantee or endorse the condition, quality, safety, or legality of any vehicle listed by a Seller. Any descriptions or representations are made by the Seller, not by TripC.
  • You will ensure that you have the necessary funds to complete the purchase of the vehicle at the price agreed with the Seller, and you will pay any applicable taxes, registration fees, or other costs associated with transferring ownership of the vehicle.
  • You will arrange with the Seller for any inspection, test drive, and the final exchange of the vehicle and payment. It is your responsibility to inspect the vehicle to your satisfaction before completing the purchase.
  • Any purchase agreement or contract of sale for a vehicle is strictly between you (the Buyer) and the Seller. TripC is not a party to any such agreements. You acknowledge that the sale and all related obligations (such as transferring title and paying the purchase price) are solely between the Buyer and Seller.

6. Fees and Payments

Using the TripC platform to browse listings is free for Buyers. However, TripC may charge fees for certain services, such as listing a vehicle or upon a successful sale (for example, a listing fee or a commission). Any applicable fees for use of the Services will be disclosed to you prior to you incurring them (for instance, when you create a listing, TripC will inform you of any listing fees or commissions). By using a service or feature that incurs a fee, you agree to pay the fees indicated.

If TripC facilitates payment for a vehicle (for example, through an integrated payment system or an escrow service), you may be required to pay transaction processing fees. Such payment services may be operated by third-party providers, and you may have to agree to additional terms of those providers. TripC is not a bank or financial institution; any payment facilitation is provided solely for users’ convenience. TripC does not guarantee the receipt or timing of payments between Buyers and Sellers. Buyers and Sellers are ultimately responsible for arranging payment and the transfer of the vehicle.

7. TripC's Role as a Marketplace Platform

TripC provides a platform for users to connect, but it does not participate in the actual sale of vehicles between users. TripC’s responsibilities are limited to facilitating the availability of the Services (such as hosting listings and enabling communication and payment processing). TripC is not directly involved in any agreements or transactions between Buyers and Sellers.

Important Disclaimers:

  • TripC LLC is not a car dealer or broker.
  • TripC LLC never takes possession or legal ownership of any vehicle listed on the platform.
  • TripC LLC does not sell any vehicle; all vehicle sales are strictly between users (the Seller and the Buyer).

Accordingly, TripC is not a party to any vehicle purchase and sale agreement between users. TripC has no control over the truth or accuracy of listings, the condition of the vehicles, or the ability of Sellers and Buyers to actually complete a transaction. TripC does not transfer ownership of vehicles from the Seller to the Buyer; that transfer is handled by the parties to the transaction, typically completed by the signing of the title and any required documents directly between them.

Users acknowledge that any dispute or issue arising out of a vehicle sale is between the Buyer and the Seller. TripC is not responsible for resolving such disputes, although we may, at our discretion, attempt to facilitate communication between the parties.

8. Prohibited Conduct

When using the TripC Services, you agree that you will not:

  • Violate any applicable law or regulation, including all motor vehicle sales, consumer protection, and privacy laws.
  • Post any vehicle or content that is false, misleading, fraudulent, or that does not belong to you. This includes not listing any vehicle that you do not have the right to sell or that you do not intend to actually sell.
  • Infringe or violate the rights of any other person or entity, including intellectual property rights (for example, by posting photos or descriptions you do not have the right to use).
  • Use the Services to harm, harass, or defraud any other user or any third party.
  • Engage in any disruptive or harmful behavior that interferes with or negatively affects the platform, such as submitting malicious code, attempting to hack the site, or spamming other users.
  • Circumvent or attempt to circumvent any fees that you owe to TripC or any process by which fees are calculated or charged.
  • Transfer or sell your TripC account to another party without our prior consent.

TripC reserves the right to remove any content or listings that violate these Terms or that TripC, in its sole discretion, deems inappropriate or unlawful. TripC may also take any other appropriate action, including suspension or termination of your account, if you engage in prohibited conduct.

9. Termination

TripC may, in its sole discretion, suspend or terminate your account and/or your access to all or part of the Services at any time and for any reason, including, without limitation, if we believe you have violated these Terms or engaged in behavior that is harmful to the platform or other users. Such termination or suspension may occur without prior notice, although we will endeavor to notify you after the fact if your account is terminated.

If your account is terminated or suspended, you remain obligated to resolve any pending transactions or disputes with other users. If you had any fees or payments due to TripC prior to termination, you will still be responsible for paying those amounts. You may terminate your own account at any time if you no longer wish to use the Services by providing notice to TripC (or by using any account deletion functionality provided on the platform). Please note that even after your account is terminated (by you or by us), certain provisions of these Terms will remain in effect, including those relating to ownership of content, disclaimers, indemnities, and limitations of liability.

10. Disclaimers and Limitation of Liability

Disclaimers: You use the TripC Services at your own risk. The Services (including the platform and all content provided therein) are provided on an "as is" and "as available" basis without any warranty of any kind, either express or implied. To the fullest extent permitted by law, TripC disclaims all warranties, express or implied, including but not limited to implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement.

In particular, TripC makes no representations or warranties about the truth, accuracy, or completeness of any information or content provided by users (including vehicle listings), or the condition, quality, safety, or legality of any vehicles listed or sold through the platform. TripC does not guarantee that the Services will be uninterrupted or error-free, or that any particular vehicle will be sold or meet your expectations.

Limitation of Liability: To the fullest extent permitted by law, in no event shall TripC LLC or its affiliates, or their respective officers, directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of or related to your access to or use of (or inability to access or use) the Services, or any transaction or interaction with any other user, even if TripC has been advised of the possibility of such damages.

In no event shall TripC’s total liability to you for all claims arising out of or relating to the Services and your use thereof exceed the greater of: (a) the total amount of any fees you paid to TripC in the twelve (12) months prior to the event giving rise to the liability, or (b) US $100. The limitations of liability in this section apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities, so some of the above disclaimers and limitations may not apply to you. In such jurisdictions, the liability of TripC and its affiliates will be limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless TripC LLC, its parent company, subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents (collectively, the "Indemnified Parties") from and against any and all claims, demands, disputes, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Services or any activities you conduct through the platform.
  • Your breach of these Terms or of any other agreements or policies incorporated by reference in these Terms.
  • Your violation of any law or regulation or the rights of any third party (including intellectual property rights, privacy rights, or other proprietary rights).
  • Any content that you post or share on the TripC platform, or any vehicle listing you create.
  • Any dispute or transaction between you and another user or a third party (including disputes between Buyers and Sellers, or any issues related to a vehicle sale).

TripC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in such case, you agree to cooperate with TripC's defense of such claim. You agree not to settle any such matter without the prior written consent of TripC.

12. Governing Law and Miscellaneous

  • Governing Law: These Terms and any disputes arising under or related to these Terms or the Services will be governed by the laws of the State of California, USA, without regard to its conflict of law principles, except as may be otherwise provided in supplemental terms applicable to your region. You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Services shall be brought exclusively in the federal or state courts located in the State of California, and you consent to the jurisdiction of such courts.
  • Severability: If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions. The remaining provisions of the Terms will remain in full force and effect.
  • No Waiver: TripC's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of TripC.
  • Entire Agreement: These Terms, together with any additional policies or guidelines posted on the TripC platform (such as the Privacy Policy), constitute the entire agreement between you and TripC regarding the Services and supersede any prior agreements or understandings between you and TripC with respect to the subject matter herein.
  • Assignment: You may not assign or transfer any of your rights or obligations under these Terms without prior written consent from TripC. TripC may freely assign or transfer these Terms (in whole or in part) as part of a merger, acquisition, sale of assets, or by operation of law, or otherwise at its discretion.
  • No Agency: Nothing in these Terms is intended to or shall create any agency, partnership, joint venture, or employment relationship between you and TripC. You and TripC are independent contractors, and neither party has any authority to bind the other in any respect.
  • No Third-Party Beneficiaries: These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties to these Terms (i.e., you and TripC).
